Terms of Service
These terms are the agreement between you and Proper Sanitation LLC ("Proper Sanitation", "we", "us") for use of our website at www.propersani.com (including the quote form and your online customer account), the Proper Sani app for iPhone, and for the rental and servicing of our equipment. By creating an account or placing an order, you accept them.
In these terms, "the website" means www.propersani.com, "your online account" means your customer account on the website, and "the app" means the Proper Sani app for iPhone.
1. Who can use the service
You must be at least 18 and able to enter a contract. If you are ordering for a company, you confirm you are authorized to bind it, and "you" means that company.
2. Your account
Keep your password confidential; you are responsible for activity under your account. Tell us promptly at 213.290.4440 if you believe it has been used without your permission. Please keep your contact details current — we use them to reach you about deliveries and service visits.
Your account works the same in the app and on our website; it is one account.
Notices. We send notices about your quotes, jobs, invoices, payments, and account by email, by push notification in the app, and in the Messages area of your account (and, once we offer them, by text message), as the notification settings in the app or your online account allow. Keep at least one of these switched on so that we can reach you. The settings also let you switch off a kind of notice, such as invoices. If you do, we do not send you notices of that kind, even where these terms say we tell you; your jobs and invoices always show in your account. A few notices are sent whatever those settings say: a password reset code you ask for, the confirmation of a booking, the notice of our yearly price adjustment (section 3), the confirmation of a pickup you book (section 8), the notice before each autopay debit from a personal bank account and of any change to it, and the notice that a bank payment failed or was returned, or that we are debiting it again (section 9).
You agree to receive these terms, your invoices, and our notices electronically. A notice we send by a way that is switched on in your settings, using the details on your account, is given when we send it. Where these terms ask you to tell us something, a message from your account, an email, or a call is enough. To give us formal legal notice, email info@propersani.com or write to the address in section 18.
Texts. We do not send text messages yet. Once we do, if you give us a mobile number and leave texts switched on in your notification settings, we text it about your quotes, jobs, invoices, payments, and account. Message frequency varies. Message and data rates may apply. Reply STOP to stop texts or HELP for help, or call 213.290.4440. Consent to texts is not a condition of renting from us.
Deleting your account. You can delete your account at any time with Delete Account in the app or on our website. If units are still on your site or booked, or money is owed either way, we record your request and delete the account once those are settled; until then these terms keep applying, you can still sign in to pay and follow your jobs, and new quotes and bookings are paused unless you cancel the request. Deleting your account does not cancel a confirmed rental or anything you owe, and we keep the records described in our Privacy Policy, such as invoices, payments, and the job records behind them. You can still book with us by phone or email, or with a new account.
3. Quotes and pricing
Quotes are estimates based on what you tell us, whether you ask on our website, in the app, or by phone or email, and are not a binding offer until we confirm your order. A quote may be revised if the site conditions, dates, unit count, or access differ from what was described. Otherwise the prices in a quote we send you stay as quoted until you book it, except sales tax, which is estimated, and the damage waiver, which depends on whether we hold your certificate of insurance.
What you pay. Before you book, we show you every charge on your order: the rental for each unit, any extra service, any lock & hasp brackets, any restricted-access charge, the damage waiver, delivery and pickup, and estimated sales tax. For a booking by phone or email we tell you instead. We do not add fuel surcharges or environmental, energy, compliance, or administrative fees. Our prices do not include sales tax. We add sales tax to the taxable charges on each invoice at the rate for the city where the equipment is used, or the Los Angeles County rate where the site is unincorporated, and each invoice shows the rate.
Units. A standard unit is $225 for each 28-day period, with weekly service. A handwash station is $145 for each 28-day period when it is rented with a restroom unit at the same site, and $199 on its own. A hand-sanitizer stand is $45 for each 28-day period. ADA-accessible units are priced in a quote, for longer rentals.
Volume. When six or more restroom units that are not at the founding rate are on rent with you at the same site, each standard unit at our standard rate on the rental is $10 less for each 28-day period. Founding units, handwash stations, and hand-sanitizer stands do not count toward the six and are not reduced. We work this out when we price your rental and whenever its units change.
Delivery and pickup. Delivery and pickup is charged by the trip: $95 for the first unit we set on a trip, and $30 for each additional unit set on the same trip. It covers taking the equipment out and collecting it. It is invoiced once, when the units on that trip are set, and it is not reduced if a rental ends early or units are collected separately. Units added to a rental later come on a new trip. If you ask us to exchange a unit, the units we bring are a new trip; an exchange we make because of our own error or a defect in our equipment costs nothing. Standard delivery is the next business day, where our route allows.
Where we book online. The prices in these terms apply to sites we book online: downtown Los Angeles and sites within about 10 miles of it, including the Arts District, Boyle Heights, East Los Angeles, Vernon, Commerce, Huntington Park, South Gate, South Los Angeles, Koreatown, Hollywood, Glendale, Pasadena, Alhambra, Montebello, and Inglewood, as decided by the site's ZIP code. A site elsewhere is booked through a quote, and the prices in that quote apply.
Same-day delivery. If you book a delivery for the same day, before 10am on a weekday that is not one of our holidays, delivery and pickup is $220 for the first unit and $30 for each additional unit on that trip, in place of the charge above. We charge it only when you ask for delivery on the day you book, and we show it to you before you book. A same-day booking is a request until we confirm it; if we cannot come that day, we offer you the next day we can, and the same-day charge does not apply.
Founding accounts. We give a founding rate on up to 10 standard units in total, across all of our customers. Yours is a founding account only if we have told you so and it is marked on your account. On a rental billed every 28 days, a founding account pays $199 for each standard unit at the founding rate for that unit's first three 28-day periods, and then $219 for as long as that unit stays on rent with you. The yearly adjustment in this section does not apply to a unit at the founding rate. Founding units are given in the order they are booked: once all 10 are taken, further units are at our standard rate, and a quote at the founding rate holds it only while founding units remain. If an invoice on the account is more than 30 days overdue, we may end its founding pricing by telling you. That does not change the price of an order we have already confirmed. Founding pricing belongs to the account it was given to and cannot be transferred.
Extra service. A rental includes weekly service. Extra service is optional. If you ask for more, service twice a week is an extra $140, and three times a week an extra $280, for each restroom unit for each 28-day period. A handwash station rented with a restroom unit is serviced on that unit's visits at no extra charge. A handwash station rented on its own is serviced weekly, and more frequent service for it is priced in a quote. Hand-sanitizer stands are refilled on each service visit at no extra charge.
Saturdays, Sundays, and after hours. Deliveries, service visits, and pickups cannot be booked on a Sunday. A delivery, service visit, or pickup on a Saturday is an extra $95 for each visit. That includes a rental that starts or ends on a Saturday, service you choose to have on Saturdays, a monthly service visit that falls on a Saturday, and a pickup you ask us to make on a Saturday. When you book in the app or online, we show any Saturday charge before you book, and when you ask for a Saturday pickup, we show it when you ask. A visit outside our weekday hours of 6am to 6pm is also an extra $95; we charge it only when you ask for such a visit, and we confirm it with you before we come.
Damage waiver. A rental billed every 28 days includes a damage waiver charge of 6% of the rental, extra service, lock & hasp, and restricted-access charges on each invoice, rounded to the nearest dollar. We do not charge it for a 28-day period that starts while we hold a certificate of insurance from you that covers rented equipment at your site. Keep that insurance in force while we hold the certificate: if it lapses, we may charge the waiver again from the next 28-day period after we tell you, and until then the waiver does not cover you. While the damage waiver applies, we will not charge you for vandalism, graffiti, or accidental damage to the equipment during the rental. Tell us within 48 hours of finding any damage. The waiver does not cover theft, loss, or destruction of the equipment, or damage caused on purpose by you or anyone at your site, or by misuse or improper waste; those remain your responsibility under section 7. It does not apply to a period for which we did not charge it.
Lock & hasp brackets. A lock & hasp bracket is $25 for each 28-day period for each bracket, with at most one for each restroom unit. You may add or remove brackets; the change applies from the next 28-day period.
Restricted-access sites. If our staff need a gate code, an escort, a badge, or a similar arrangement to reach the equipment, we may mark your site as restricted access. It is then $35 for each 28-day period, charged once for the site whatever the number of rentals there. We tell you before we start charging it.
Service and incident fees. These charges apply when they arise:
- an extra service visit you ask for: $65 on a day our route already serves your site, or $95 as a trip of its own;
- moving a unit on the same site: the first move is free at a site where you have two or more units on rent, and each other move is $75;
- responding to and re-servicing a tipped unit: $125;
- cleaning graffiti or excess mess beyond normal use: $150 for minor and $350 for major cleaning, which we photograph (we do not charge for cleaning graffiti while the damage waiver applies);
- a unit destroyed or not returned: $950.
A visit on a Saturday or after hours also carries the $95 charge above. We tell you the fee before we do the work, except where we must act at once to make a unit safe or sanitary. We do not charge a fee for a visit or work that our own error or a defect in our equipment made necessary.
Events. Event rentals are priced by quote: the units, their service for the event, and delivery and pickup, as one price for your dates. Our trucks do not run on Sundays, so a weekend event is delivered on the Friday or Saturday and collected on the Monday; a Saturday delivery or pickup carries the Saturday charge above, and your quote includes it. Section 9 says how an event rental is billed.
Trailers. We do not rent restroom trailers until 2029.
Yearly adjustment. Our prices do not change during a rental except as this paragraph says, or when you change your units or service. Once a year, on each anniversary of the day billing started on a rental (every thirteen 28-day periods), its rental and extra service charges go up by 3%, each rounded to the nearest dollar. Delivery and pickup, lock & hasp brackets, restricted-access charges, and the fees in this section do not change, and the damage waiver stays at 6%. We email you at least 30 days before an adjustment takes effect. If we tell you later than that, it takes effect from the first 28-day period that starts at least 30 days after we tell you. We may choose not to make an adjustment.
Cal/OSHA guidance. On request, we recommend the number of units and handwash stations for your site under California's workplace rules (Title 8, California Code of Regulations, sections 1526 and 1527). This guidance is included at no charge. You remain responsible for meeting the rules that apply to your site.
Preliminary notice. On commercial and construction projects, we serve the California preliminary notice (the 20-day notice) that the law provides for, on the owner, the direct contractor, and any construction lender we can identify. It is routine. It protects every party's payment rights, and it does not mean there is a problem.
4. Orders, delivery, and site access
When we confirm your order, whether you placed it in the app, in your online account, or with our office, you are renting the equipment from delivery until we collect it: renewing every 28 days, as section 8 explains, or, for an event rental, for the dates in your quote. You agree to:
- provide a safe, legal, and reasonably level placement location that our delivery vehicle can reach;
- obtain any permit, HOA approval, or landlord or property-owner consent needed to place a unit, and to be responsible for it;
- give accurate access details — gate codes, hours, and site contacts;
- keep the area around the unit clear so it can be serviced and collected.
Our trucks are heavy. You choose where the equipment goes, and you agree that the ground our truck has to cross to get there, once it leaves the public road, can carry the truck. Tell us before we come about anything the truck should keep off, such as a septic tank, sprinkler lines, or pavers. We are not responsible for damage to driveways, paving, lawns, or anything underground caused by ordinary delivery, servicing, or pickup over that ground, unless we failed to take reasonable care.
If our driver cannot access the site, place the unit safely, or complete a scheduled service because of site conditions, we may charge a return trip fee of $95. We will tell you before charging one wherever we can.
Delivery and pickup windows are estimates. We are not liable for delays caused by weather, traffic, site conditions, or anything else outside our reasonable control.
Photos. Wherever they can, our drivers photograph the equipment when it is delivered, serviced, and collected, and those photos appear with the rental in your account. They are our record of where the equipment was placed and the condition it was in. If a unit arrives damaged or is not where you asked, tell us within 48 hours of delivery, or of your booked start date if we deliver before it.
Orders we cannot serve. We may decline an order, or cancel a confirmed order before delivery, if we cannot serve it — for example, a site outside the area we cover, or one our truck cannot reach safely. If we do, we tell you and refund anything you have paid for it, other than a return trip fee charged under this section. Once the equipment is delivered, section 8 applies instead.
5. How you may use the equipment
The equipment remains our property at all times. You may not sell, sublet, lend, modify, paint, or move it to another address without our written consent.
Units are for ordinary human sanitary use only. Do not place hazardous, flammable, chemical, medical, or construction waste in them, and do not overload, tamper with, or block them. You are responsible for the equipment's condition while it is at your site, and for reasonable measures to prevent vandalism or theft.
6. Servicing
Where your rental includes scheduled servicing, we will clean, pump, and restock on the agreed schedule. The dates shown in the app and your online account are the planned schedule, not a guaranteed arrival time — weather, access, and traffic move them, and we will tell you when that happens. Additional visits requested through the app or your online account are charged as section 3 sets out unless the visit is needed because of our own error or a defect in our equipment.
7. Damage, loss, and extra charges
You are responsible for loss of, or damage to, the equipment beyond normal wear while it is at your site, including theft, misuse, tipping, improper waste, and (for any period without the damage waiver) vandalism and graffiti. A unit destroyed or not returned is $950. For other damage, we charge reasonable repair cost, except as the damage waiver in section 3 provides, and give you an itemized explanation on request. We may also charge the service and incident fees in section 3, a return trip as described in section 4, and the cost of specialist disposal for excessive contamination.
8. Ending a rental and cancellations
Your rental renews every 28 days until you ask us to collect the equipment. Ask in the app or your online account, or call us. We need 7 days' notice: the earliest pickup day is 7 days after you ask, or the first day after that which is not a Sunday or one of our holidays. You may choose a later day. Billing continues until the pickup day you booked, even if we collect earlier or our truck arrives later. If you gave an end date when you booked, that is your booked pickup day. You may move it later at any time, or earlier, but not sooner than 7 days after you ask. If we cannot collect on the booked day because of site access or conditions, billing continues until we can. Section 9 explains how those days are billed.
An event rental ends on the last date in your quote, when we collect the equipment; tell us before then if you need the units longer, and we bill the extra days as section 9 says.
You may cancel a confirmed order before delivery; if you cancel with less than 24 hours' notice we may charge a cancellation fee covering costs already incurred. We may end a rental and collect the equipment if you materially breach these terms, if payment is significantly overdue, or if the site becomes unsafe for our staff.
9. Billing and payment
When billing starts and stops. Billing starts on the day we deliver, or on your booked start date if we deliver before it. It stops on the pickup day you booked with us (section 8), or later if section 8 says so. That last day is billed as a full day.
Rentals at a rate. A rental priced at a rate is billed in 28-day periods, thirteen a year, from the day billing starts. We invoice the first period, with delivery and pickup, when we deliver, and each later period at its start, in advance. The first 28-day period is billed in full, even if the equipment is collected sooner. After that, a part period at the end of a rental is charged by the day, each charge rounded to the nearest whole dollar, and the damage waiver is worked out on those amounts.
Ending early. If billing stops partway through a period we have already invoiced, other than the first 28-day period — for example, because the equipment is collected before that period ends, or we agree an earlier end date — we replace that invoice with one for the days up to the last day billed. Anything you paid on the original is applied to the replacement, and anything left over is refunded to you. An invoice for a period that starts after the last day billed is cancelled, and anything paid on it is refunded. Differences of less than 50 cents caused by rounding are neither charged nor refunded. Delivery and pickup is never reduced.
Event rentals. An event rental is invoiced one event fee for the dates booked, when we deliver. The fee covers those dates as a whole and is not reduced if the equipment is collected sooner. Days the equipment stays past those dates, including any extension we agree, are billed at the price per unit per day in your quote, invoiced in the same way as days of a rental at a rate.
Invoices. Sales tax is added to the taxable charges on every invoice, as section 3 describes. Invoices are issued through the app and your online account, and by email, and are due on the date shown, 30 days from the invoice date unless we agree otherwise in writing. An invoice for days billed in advance is dated the first day it covers, or the day we issue it if that is earlier. An invoice for a rental on autopay is charged when we issue it, or, from a personal bank account, on the date in our notice (see Notice before each debit from a personal account below).
Card and bank payments, in the app or on our website, are processed by Stripe; by paying you also accept Stripe's terms. We do not receive or store your full card number or bank account number.
Paying by bank. Where we offer it, you may pay an invoice from a U.S. checking or savings account instead of a card. You link the account by signing in to your bank through Stripe. When you pay an invoice by bank, you authorize us to debit that account once, for the amount shown, and Stripe emails you a copy of that authorization. A bank payment usually takes about 4 business days to clear. Until it clears, your account shows it as processing, the invoice it pays is not treated as overdue, and no late charge accrues on the amount it covers. Paying by bank costs the same as paying by card.
Autopay. Rentals are paid by autopay. When you book, you save a card with Stripe or, where we offer it, a bank account (see Autopay from a bank account below), and we charge it for each invoice for your rental when we issue it: on the day your equipment is delivered and set, delivery and pickup and the first period together, as one payment; then each later period at its start; and any charge under section 3 or 7. A bank account is not debited for a charge under section 3 or 7 unless you agree to it at the time, and a personal bank account is debited on the date in our notice, which can be later than the day we issue the invoice (see Notice before each debit from a personal account below). Nothing is charged before your equipment is delivered. Paying by check is available only where our office has agreed it for your account. You may then turn autopay off, and pay each invoice by its due date.
By saving a card for autopay, you authorize us to charge it as this paragraph describes until your rentals have ended and everything owed is paid, or until you replace the card, with another card or a bank account, or our office agrees another way to pay. Turning autopay off, where allowed, does not reverse a charge already made. If a charge does not go through, we send you a notice, and the invoice stays open for you to pay by its due date. A refund of a card payment goes back to the card you paid with. A refund of a bank payment goes back to the account it came from, as a separate credit, once the payment has cleared, and can take a few business days to arrive. A bank payment can be refunded only in full; where only part of one is owed back, we give it as credit on your account, or by check if you ask.
Autopay from a bank account. Where we offer it, you may save a U.S. checking or savings account for autopay instead of a card, whether it is a personal or a business account. You link it by signing in to your bank through Stripe, and you tell us whether it is a personal or a business account. We treat it as a business account only when you tell us it is one and your bank does not list it as personal; otherwise we treat it as a personal account. By saving it, you authorize us to debit it for each invoice for your rental, as the Autopay paragraph describes: delivery and pickup with the first period, each later period, and the last part period when a rental ends. A business account is debited when each invoice is issued; a personal account is debited on the date in our notice, as described below. This authorization covers your current rentals and any you book later, and lasts until you cancel it as described below. Each amount is worked out from the prices in section 3 and shown on its invoice, and can differ from one debit to the next, for example for a part period, or when the damage waiver comes off or applies again. Any other charge, such as a fee under section 3 or a charge under section 7, is not debited from the account unless you agree to it at the time; we send you that invoice to pay instead. Stripe emails you a copy of this authorization when you save the account. If you tell us it is a business account, you confirm that it belongs to a business, and you agree for the business that its debits are governed by the Nacha Operating Rules.
Notice before each debit from a personal account. Before each autopay debit from a personal account, we send you a written notice of its amount and date at least 10 days before that date, by email and in your account, whatever your notification settings say. You have the right to this notice whenever a debit's amount differs from the one before; we send it before every debit. If the amount changes after we send a notice, or the debit cannot be made on the date in it, we do not make that debit; we send you a new notice, and the debit is made no sooner than 10 days after it. If the account is saved when you book, the confirmation of your booking is the notice of your first debit when your delivery is at least 10 days away; otherwise that debit is made 10 days after the confirmation, after your delivery. While a debit waits for its date, the invoice is not treated as overdue and no late charge accrues on it, and you may pay it another way before then; the debit is then not made. We send these notices electronically, as section 2 describes. You may ask us for a paper copy of any of them at no charge, and if you no longer want them electronically, you may cancel this authorization as described below and pay another way.
Cancelling a bank authorization. You may cancel your authorization at any time with Stop using this bank account in Payment Methods, in the app or your online account, or by telling us at 213.290.4440 or info@propersani.com. It takes effect as soon as we receive it for every debit we have not yet started, including one we have sent you a notice for; no longer notice is needed, and a debit already started finishes. This replaces any longer notice period shown in Stripe's authorization form or in its email. Cancelling does not cancel anything you owe. While your rentals are on autopay they then need a card, a new bank account, or another way to pay that our office agrees, and until then your invoices wait for you to pay them.
If a bank payment fails or is returned. A bank payment can fail before it clears, for example for insufficient funds, a closed account or wrong account details, or because the account holder tells the bank it was not authorized; and a bank can return a payment after it cleared. If a payment fails, or is returned after it cleared for insufficient funds, wrong account details or because the bank could not process it, the invoice it was paying is open again and due on its original due date or 7 days after we tell you, whichever is later, and we send you a notice whatever your notification settings say. We do not charge a fee for a failed or returned payment. If an autopay payment from a business account fails for insufficient funds before it clears, we may debit the same account again for the same amount, no more than twice, and we tell you each time we do, whatever your notification settings say; we do not debit a personal account again after a failure. If a payment is returned after it cleared, or you dispute a bank payment with your bank, we take the payment off the invoice, the authorization for that account ends, and autopay needs a card or bank account saved again. While a bank payment that failed or was returned is still unpaid, a bank account does not count as your autopay method for a new booking: book with a card, or pay that invoice first.
Corrections. If we record something by mistake — for example, a delivery marked complete before it was, or an invoice raised in error — we correct the record and cancel any invoice the mistake raised. Your account shows a cancelled invoice as void, with nothing owed on it. If we had sent you a notice of a delivery, collection, or service visit that did not happen, we send you a correction the same way. Anything you paid on an invoice cancelled this way is refunded to you, or applied to the invoice that replaces it, with anything left over refunded.
Overdue amounts may accrue a late charge at the lower of 1.5% per month or the maximum the law allows, and you agree to pay the reasonable costs of collecting a genuinely overdue balance. If you think an invoice is wrong, tell us within 30 days and we will investigate before treating it as overdue.
10. The app, website, and online account
We grant you a personal, non-exclusive, non-transferable license to use the app and our website to manage your account with us. Do not copy, reverse-engineer, resell, or use either to interfere with our systems or another customer's account. We may update or discontinue features of either. The app and website are conveniences — if either is unavailable, call us at 213.290.4440.
What you send us. In the app or your online account, you can send messages and attach photos to a service request. Send only what relates to your job, only content you have the right to send, and nothing unlawful. Photographs of a site may capture people or another party's property — it is your responsibility to have any permission that requires. You keep ownership of what you send; you give us permission to use it to run your job and keep our records. We may remove anything that breaks this section, and we may decline to act on a message that is abusive.
Keeping your account secure. Anyone who can get into your email or answer your phone can reset your password, so keep both secure and tell us straight away if you think someone else has access to your account.
11. Warranties
We will provide our services with reasonable care and skill, and supply equipment that is clean and serviceable at delivery. Beyond that, and except where California law says otherwise, the service, the app, and the website are provided "as is" without further warranties, including any implied warranty of merchantability or fitness for a particular purpose.
Nothing in these terms limits liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.
12. Limitation of liability
Subject to section 11, we are not liable for indirect, incidental, special, or consequential losses — including lost profits, lost business, or project delay — arising from the service, the app, or the website.
Our total liability for any claim is limited to the amount you paid us for the rental the claim relates to, in the 12 months before the claim arose.
13. Indemnity
You agree to indemnify us against claims, losses, and reasonable legal costs arising from your breach of these terms, your misuse of the equipment, or your failure to obtain a permit or consent required for placement — except to the extent the claim arises from our own negligence or breach.
14. Insurance
We maintain the liability insurance required for our operations. You are responsible for insuring your own site, property, and personnel.
15. Changes to these terms
We may update these terms. For material changes we will notify you in the app, in your online account, or by email before they take effect. Changes do not apply retroactively to a rental already confirmed. Continuing to use the service after a change means you accept it.
16. Governing law and disputes
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The courts of Los Angeles County, California have exclusive jurisdiction, and both of us consent to venue there.
Before filing anything, please contact us at 213.290.4440 — most disputes are resolved with a phone call.
17. General
If any provision is unenforceable, the rest stays in force. Our not enforcing a provision is not a waiver of it. You may not assign this agreement without our consent; we may assign it to a successor of the business. These terms, together with your confirmed order and our Privacy Policy, are the entire agreement between us.
